CASWELL LABS / LEGAL
Terms of Service
Last updated 30 September 2026
About these terms
Caswell Labs is the trading name of Bray Caswell, a UK sole trader. The business address is Caswell Labs, 61 Bridge Street, Kington, HR5 3DJ, United Kingdom. Contact us at [email protected].
We build custom software, Windows applications, websites and web applications, Discord and Twitch bots and tools, automation and integrations, and may provide related hosting, maintenance or support when agreed.
These terms describe the baseline for services we agree to provide. Viewing this website or sending an enquiry does not itself create a paid services contract. A contract starts when we and the customer agree a quotation, proposal, statement of work or other written arrangement. Where that agreement expressly sets different terms for a particular project, those agreed project-specific terms take precedence for that project.
Scope and pricing
We will agree the work, deliverables, price, payment schedule and any material assumptions in writing before work begins. A quotation may have a stated validity period. Deposits or upfront payments apply only if agreed in writing. Recurring hosting, maintenance or support charges apply only to services and billing intervals agreed in writing.
If requirements change, we will discuss the effect on price and timing before carrying out additional chargeable work. We may pause the affected work until the change is agreed. Invoices are payable by the date stated in the agreement or invoice. Payment processing may be provided by a third party.
Working together
The customer is responsible for providing accurate requirements, timely feedback, necessary access and the rights to any materials, accounts or content they ask us to use. The customer should keep independent copies of materials supplied to us. Delays or changes in those inputs may affect the delivery schedule.
We will work with reasonable care and skill. We will communicate material changes to an agreed schedule. Unless explicitly agreed as a fixed deadline, delivery dates are estimates. The customer should review and test delivered work against the agreed scope and tell us promptly about material issues so we can investigate and address them.
Third-party services
Some work depends on third-party platforms, APIs, hosting, payment services or app stores. Their terms, availability, charges and technical rules may apply. We cannot control their outages, policy changes or discontinued features, and will discuss practical options if they affect the agreed work.
Ownership and permissions
The project agreement should specify ownership and usage rights for the final deliverables, including when any agreed transfer or licence takes effect. Payment for development alone should not be assumed to transfer all intellectual-property rights. Unless an express written agreement says otherwise, each party keeps rights in what it owned or developed independently before the project. The customer retains rights in materials it supplies and permits us to use them as needed to perform the agreed work.
Any third-party or open-source component remains subject to its own licence. Where Caswell Labs pre-existing code, tools or components are included, the project agreement should explain the permissions needed to use the completed work. We will identify material restrictions in the agreed project terms.
Hosting, maintenance and support
Hosting, backups, updates, monitoring, response times and ongoing support are provided only to the extent described in the relevant written agreement. The customer should maintain its own current copies of important data and content unless a specific backup responsibility is agreed. We will use reasonable care in providing any agreed service, but cannot promise uninterrupted or error-free operation.
Cancellation, suspension and refunds
Cancellation dates, notice periods, charges for work already done and any refund arrangements should be set out in the project or service agreement. If the customer wishes to cancel, they should contact us in writing so we can confirm what has been completed, what remains payable and any applicable rights. Any statutory consumer cancellation, refund or remedy rights continue to apply where relevant.
We may suspend an affected service after reasonable notice if an undisputed payment remains overdue or the service is used unlawfully or in a way that materially threatens security or others. We may act sooner where needed to prevent immediate harm, and will explain the action as soon as reasonably possible. Termination does not remove amounts properly due for work already performed or rights that must survive by law.
Acceptable use and responsibility
Customers must not use services we provide for unlawful activity, infringement, abuse or unauthorised access. Each party remains responsible for its own actions and obligations. Neither party is liable for a delay caused by circumstances outside its reasonable control, but will take reasonable steps to reduce its effects.
Neither party excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Any specific financial liability limit should be agreed fairly in writing for the project; nothing here removes applicable consumer statutory rights or remedies.
Law, changes and contact
These terms are governed by the law of England and Wales, subject to any mandatory rights that apply to a consumer elsewhere. Disputes will be handled by courts with jurisdiction under applicable law. We may update these website terms for future work; changes do not alter an existing project agreement unless both parties agree.
